Agreement
These terms govern any engagement between digi.ai.in(“we,” “us,” “the studio”) and a client (“you”) for the design, development, or maintenance of websites and applications. By engaging us for a project, you agree to these terms alongside anything agreed separately in a project proposal, quote, or statement of work.
Scope of work
The specific deliverables, timeline, and cost for any project are defined in a separate written proposal or statement of work. These terms apply in addition to, not instead of, that document. Where the two conflict, the statement of work takes precedence.
Payment
Payment schedules are agreed per project. Work may be paused if agreed payment milestones are not met. Fees already paid for completed work are non-refundable except where required by law.
Intellectual property
Upon full payment for a project, ownership of the final delivered code and design assets created specifically for you transfers to you. We retain the right to reuse general-purpose components, internal tooling, and know-how developed during the engagement, and to reference completed projects in our own portfolio unless you request otherwise in writing.
Third-party services
Projects may depend on third-party platforms, libraries, or hosting providers (for example, Vercel). We are not responsible for the availability, pricing, or policies of services we do not control.
Limitation of liability
Our services are provided on an “as is” basis. To the maximum extent permitted by law, our total liability arising from any engagement is limited to the fees actually paid to us for that engagement, and we are not liable for indirect, incidental, or consequential damages.
Termination
Either party may end an active engagement with written notice. You remain responsible for fees owed for work completed up to the date of termination.
Changes
We may update these terms from time to time. Continued use of our services after an update constitutes acceptance of the revised terms.
